Begin with the relevant investment entity, portfolio company and proposed financing. Reconcile securities and ownership to the available capitalization and transaction records. Mark discrepancies before relying on a position in a readiness review.

Ownership baseline

Evidence: Current capitalization records, investment documents and dated transaction history.

Owner / status: Investment operations / confirm the as-of date and unresolved differences.

Identify the rights relevant to the proposed round, their scope and any eligibility conditions. Do not infer a participation right from ownership alone. Keep amendments and waivers alongside the original provision.

Participation review

Evidence: Governing provision, defined terms, amendments and prior waivers.

Owner / status: Assigned rights reviewer / evidence complete, incomplete or requires advice.

Record the required notice, recipient and applicable period from the evidence. Establish which dates depend on the proposed transaction. A missing notice record is a gap to investigate, not evidence that no notice is required.

Notice readiness

Evidence: Notice provisions, relevant correspondence and proposed financing dates.

Owner / status: Deal owner / confirm dates and follow-up responsibility.

Identify preferences, dilution assumptions and the records supporting the review. Separate observed portfolio-company performance from rights and economics. Performance is a signal for review, not a prediction of returns or a substitute for governing terms.

Economic context

Evidence: Security terms, ownership history and clearly labeled assumptions.

Owner / status: Investment team / review dependencies and unresolved inputs.

Identify approval or consent questions for the specific entity and transaction. Preserve the source and responsible reviewer. This checklist supports operational readiness; it does not determine legal requirements.

Approval map

Evidence: Relevant provisions, transaction scope and existing approval records.

Owner / status: Transaction lead / pending, evidenced or escalated.

Check whether later records alter the relevant rights or apply only to a particular round. Retain preserved provisions and note any uncertainty about scope or effective dates.

Change history

Evidence: Document family, waivers, amendments and effective dates.

Owner / status: Document owner / request missing records and confirm scope.

For an illustrative readiness meeting, bring the ownership baseline, source references and open questions together. Give each unresolved question an owner and next step in your approved system. Do not enter sensitive investment information into this checklist.

Readiness hand-off

Evidence: Evidence index, outstanding requests and accountable review owners.

Owner / status: Operations lead / ready for review or open dependencies.
