Introduction
These Terms of Service (“Terms”) constitute a legally binding agreement between PostSig, Inc. (“Company,” “we,” “us,” or “our”) and your business entity (“you” or “your”) related to your access and usage of the PostSig online application (“Application”).
Acceptance of Terms
By accessing, using, or registering within the Application, you acknowledge that you have read, understood, and fully agree to be bound by these Terms. If you do not agree with these Terms, you are prohibited from using the Application.
Services
The Application provides the following services:
- Automated Contract Management: PostSig automates your contract workflows, extracts critical data, and provides real-time insights, transforming your contracts into strategic business assets. The application utilizes advanced artificial intelligence (AI) and machine learning (ML) technology to enhance the quality and usability of your uploaded content.
User Content
- Responsibility: You are solely responsible for all content you upload (“User Content”). You must ensure that you have all necessary rights and permissions to use and share your User Content.
- Confidentiality: We take the confidentiality of your User Content seriously. We will not disclose your User Content to third parties except as required by law or with your express consent.
- Storage: We securely store your User Content. You must retain original copies of your User Content as we do not guarantee the permanent availability of content within the Application.
Intellectual Property
- Content Ownership: You retain full ownership of your User Content.
- AI and ML Rights: The Company owns all rights, titles, and interests in the AI and ML technology used within the Application. This includes any derivative works, improvements, or enhancements generated through the processing of User Content.
- Feedback: You may provide feedback on the Application. The Company has the right to use this feedback anonymously and without restriction to improve our services.
Account Management
- Registration: You must create an account to use the Application. You are responsible for maintaining the security and confidentiality of your account credentials.
- Accuracy: You agree to provide and maintain accurate and up-to-date account information.
- Termination: The Company reserves the right, at its sole discretion, to suspend or terminate your account if you breach these Terms.
Users
- Responsibility: You are responsible for all activities that occur under your account, including activities by individuals you authorize or permit to use the Application.
- Compliance: You must ensure that all use of the Application by you and those you authorize complies with these Terms.
Fees and Payment
- Service Order: Pricing for the Application is outlined in a separate service order agreed upon between you and the Company. This service order will supersede any general pricing information that may be displayed elsewhere.
- Subscription Term: The minimum subscription term for the Application is 12 months, as outlined in your service order.
- Payment in Advance: All fees are payable in advance as defined within your service order. This may include annual, monthly, or other custom payment schedules.
- Cancellation Notice: Cancellation of the subscription requires a written notice at least 60 days prior to the end of your current subscription term, as specified within your service order. Details regarding refunds for early cancellations, if any, will also be defined in your service order.
- Payment Methods: The specific payment methods accepted will be defined in your service order.
- No Refunds. Customer will timely pay PostSig all fees associated with its Subscription Plan, Account, or use of the PostSig Services, including, but without limitation, by Authorized Users. CUSTOMER’S PAYMENTS ARE NON-REFUNDABLE EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR AS OTHERWISE AGREED TO BY THE PARTIES.
- Billing Authorization: When you purchase a Subscription Plan, you must provide accurate information for a valid payment method. You will be billed for your Subscription Plan either through the payment method you provide. Customer must promptly notify PostSig of any change in its invoicing address and update its Account. BY COMPLETING REGISTRATION FOR A SUBSCRIPTION PLAN, CUSTOMER AUTHORIZES POSTSIG OR ITS AGENT TO CHARGE ITS PAYMENT METHOD ON A RECURRING BASIS (“AUTHORIZATION”) FOR: (a) THE APPLICABLE SUBSCRIPTION PLAN CHARGES; (b) ANY AND ALL APPLICABLE TAXES; AND (c) ANY OTHER CHARGES INCURRED IN CONNECTION WITH CUSTOMER’S USE OF THE POSTSIG SERVICES. The Authorization continues through the applicable Subscription Term and any Renewal Term until Customer cancels.
Disclaimer of Warranties
THE APPLICATION IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS OR BUSINESS OPPORTUNITIES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You agree to indemnify and defend the Company from any third-party claims arising from your use of the Application or breach of these Terms.
Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of California.
Changes to Terms
We may modify these Terms at any time, and will notify you via appropriate means. Your continued use signifies your acceptance.
